CONTENT TERMS OF USE

These Content Terms of Use (the “Terms”) govern your access to and use of the digital content, including but not limited to, guides, e-books, templates, checklist, photos, images, videos and manuals (the “Content”) provided by iSpring (the “Company,” “we,” “us,” or “our”). By accessing, downloading, viewing, or using the Content, you agree to be legally bound by these Terms. If you do not agree, you must not access or use the Content

1. Purpose and Scope of Use. The Content is provided solely for personal, educational, and non-commercial informational purposes. You may use the Content only in accordance with these Terms and all applicable laws.

2. Intellectual Property Rights. All rights, title, and interest in and to the Content, including but not limited to its content, text, graphics, design, structure, layout, methodology, data, illustrations, trademarks, logos, and any accompanying materials, are and shall remain the exclusive property of iSpring and/or its licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws.

Nothing in these Terms grants you any ownership rights in the Content.

3. Limited License to Users. Subject to your compliance with these Terms, iSpring grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Content solely for your own non-commercial personal use.

4. Prohibited Uses. You may not, directly or indirectly:

(a) use the Content for any commercial, revenue-generating, or profit-oriented purpose;
(b) sell, license, sublicense, rent, lease, assign, distribute, transmit, publish, display, broadcast, or commercially exploit the Content or any part thereof;
(c) copy, reproduce, modify, adapt, translate, create derivative works from, or otherwise alter the Content;
(d) remove, obscure, or alter any copyright, trademark, or proprietary notices;
(e) use the Content in any training, consulting, resale, paid course, or commercial educational program;
(f) make the Content available to any third party, whether for free or for consideration;
(g) use the Content in any manner that competes with the business of iSpring;
(h) use the Content in any manner that is obscene, pornographic, defamatory, or otherwise objectionable; or violate any laws, regulations or industry codes of practice.

5. No Transfer of Rights. Nothing in these Terms shall be interpreted as a sale, assignment, or transfer of any intellectual property rights. All rights not expressly granted are expressly reserved by iSpring.

6. User Compliance and Responsibility. You are responsible for ensuring that your use of the Content complies with these Terms. You shall not permit any third party to access or use the Content in violation of these Terms.

7. Enforcement and Remedies. Any unauthorized use of the Content, including any commercial use, will constitute a material breach of these Terms and may result in:

— Immediate termination of your right to use the Content;
— Legal action for damages, injunctive relief, and recovery of legal fees;
— Any other remedies available under applicable law.

8. Disclaimer of Warranties. The Content is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including but not limited to warranties of accuracy, completeness, merchantability, fitness for a particular purpose, timeliness, integrity, quality, safety, appropriateness or other aspect of any information or other content contained therein or non-infringement.

9. Limitation of Liability. To the maximum extent permitted by law, iSpring shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of or inability to use the Content.

10. Governing Law and Jurisdiction. These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates without regard to its principles of conflict of laws. You agree to the exclusive jurisdiction of the courts of Dubai for any claim or cause of action arising out of, or relating to or in connection with these terms or the Content, provided that such exclusivity does not apply to legal actions initiated or brought by iSpring.

Notwithstanding the foregoing, if the iSpring entity, providing the Content is any other company indicated on the Company Page, as the case may be, any dispute arising hereunder shall be exclusively construed in accordance with the laws of the country of registration of this iSpring entity without regard to principles of conflict of laws.

11. Modifications to the Terms. iSpring reserves the right to modify these Terms at any time. Updated Terms will become effective upon publication with a revised “Review Date” date.
